These terms and conditions form our legal agreement (the Agreement). This Agreement is between you (the limited company/ Customer) and Kafka Tech ltd, Company number 14668862 (Provider/us/we). You agree to it by using the beta version of the Product Pack Tool ("Beta Tool"). English law applies and any disputes will be settled by English courts.
Purpose: The Provider agrees to offer the Customer access to the Beta Tool.
Beta Term: The Beta Tool is provided on an "as is" basis for the purpose of beta testing and evaluation.
Confidentiality: Both parties agree to maintain the confidentiality of all information obtained during the course of this beta phase, not to disclose such information to any third parties, and not to use such information for any purpose other than testing and evaluation of the Beta Tool.
Intellectual Property: All intellectual property rights in the Beta Tool are and shall remain the exclusive property of the Provider. Any feedback, comments, or suggestions provided by the Customer during the beta phase shall become the sole property of the Provider.
Data Protection: The Customer is the data controller, and the Provider is the data processor. Before sharing any personal data, both parties shall enter into a Data Processing Agreement (DPA) to ensure the compliant processing of personal data.
Limitation of Liability: We are not be liable for any special, indirect or consequential costs, damages, charges or expenses of any nature; loss of profits; loss of business, contract or goods; loss of revenue; loss of use; loss or depletion of goodwill or similar losses; or loss of anticipated savings. Our total liability under or in connection with this Agreement whether in contract, tort (including negligence) or otherwise, shall not exceed £1,000.
Termination: Either Party may terminate this Agreement and the provision of the Beta Tool at any time. Upon termination, the Customer shall stop using the Beta Tool.
Entire Agreement: This Agreement constitutes the entire agreement between the parties and Only you and us have any rights under the agreement.
